Preamble

Ìsimi Lagos is more than a destination.

It is a private wellness, nature and country estate created around a philosophy of intentional living—where nature is protected, wellness is cultivated, privacy is respected, relationships are meaningful and community is deliberately curated.

Membership at Ìsimi Lagos is therefore not merely access to a collection of facilities. It is admission into a community and an acceptance of its standards.

The purpose of this Private Membership Charter & Manual (“Charter”) is to establish the principles, privileges, responsibilities and standards governing Membership at Ìsimi Lagos. Every Member, family member, Guest and authorised visitor is expected to respect the spirit as well as the provisions of this Charter.

The central principle of Ìsimi Membership is simple:

The privilege of Membership carries the responsibility of stewardship.

We expect Members to help protect what makes Ìsimi special—its nature, tranquillity, privacy, reputation, community and people.

Part I

The Ìsimi Philosophy

1.1A Private Community

Ìsimi Lagos is a private, invitation-led community. Admission is selective.

An individual’s ability to acquire property or pay the applicable Membership fee does not, by itself, create an automatic entitlement to Membership. Similarly:

• An invitation to visit Ìsimi is not an invitation to Membership.
• An invitation to apply for Membership is not an assurance of admission.
• A Member’s introduction of a prospective Member is a recommendation and not an approval.

Property ownership and Membership are related where expressly provided, but they remain distinct rights and relationships. Membership becomes effective only upon formal approval and written confirmation by Ìsimi Lagos.

1.2Our Community Values

Every Member is expected to uphold six fundamental values:

• NatureWe recognise ourselves as custodians rather than consumers of the environment.
• CommunityWe treat Members, Guests, employees and neighbouring communities with dignity.
• ExcellenceWe believe standards matter—from the condition of our environment to the quality of our behaviour.
• LegacyWe seek to leave Ìsimi better than we found it.

These values shall guide the interpretation and application of this Charter.

Part II

Membership Governance

2.1The Membership Committee

Ìsimi Lagos shall maintain a Membership Committee responsible for protecting the integrity and character of the Membership community. The Committee may oversee:

• admission of Members
• Membership classifications
• exceptional Membership privileges
• Member conduct
• Membership reviews
• suspension and termination recommendations
• Honorary Membership
• Member succession
• exceptional Guest approvals
• matters affecting the culture, privacy or reputation of the community

Membership administration personnel shall implement approved policies but shall not independently grant material exceptions outside their delegated authority.

2.2Discretion of Admission

Admission shall remain subject to applicable law and the legitimate admission criteria established by Ìsimi Lagos from time to time.

The Estate may consider identification and due-diligence requirements, suitability for the community, completeness and accuracy of information supplied and other legitimate factors relevant to maintaining a safe and private Membership community.

Where permitted by law, the Membership Committee is not required to disclose its confidential deliberations concerning an application.

Part III

Membership Categories

3.1Legacy Founding Membership

Legacy Founding Membership recognises qualifying original landowners admitted under the founding Membership programme. Founding status represents a historic Membership designation.

Once the Founding Membership class has closed, no subsequent Member shall be entitled to Founding Member status merely by acquiring property from an existing Founding Member. Specific Founding Member privileges shall be contained in the applicable Membership Benefits Schedule.

3.2Legacy Landowner Membership

Legacy Landowner Membership applies to qualifying property owners admitted into the Membership community.

Acquisition of property and admission into Membership shall remain legally distinct except where the applicable property documentation expressly provides otherwise. A purchaser, transferee, successor or beneficiary acquiring an interest in an Ìsimi property may be required to satisfy applicable Membership admission requirements before receiving Membership privileges.

3.3Lifestyle Membership

Lifestyle Membership is private Membership for approved individuals who wish to participate in the Ìsimi lifestyle and community without Membership being dependent upon property ownership.

Lifestyle Membership is personal and may not be sold, assigned or commercially transferred except where Ìsimi expressly provides otherwise.

3.4Corporate Membership

Corporate Membership may be granted to approved organisations. A Corporate Member shall nominate authorised Corporate Membership Representatives in accordance with its Membership Benefits Schedule.

Corporate Membership does not automatically make every director, shareholder, employee or Guest of the organisation a Member. The organisation remains responsible for the conduct of its authorised representatives and Guests.

3.5Honorary Membership

Honorary Membership may be extended solely by invitation to distinguished individuals whom Ìsimi Lagos elects to recognise. Honorary Membership cannot be purchased or demanded.

Its privileges, duration and conditions shall be determined by the applicable invitation or Membership Benefits Schedule.

Part IV

Membership Privileges

4.1Membership Benefits Schedule

Every Membership category shall have a Membership Benefits Schedule. The Schedule may specify:

• family privileges
• Guest allowances
• hospitality privileges
• booking priority
• accommodation benefits
• wellness benefits
• polo and equestrian privileges
• dining privileges
• Member-only experiences
• event access
• meeting privileges
• concierge services
• applicable discounts
• annual contributions
• excluded services

Benefits applicable to one Membership category shall not automatically apply to another.

4.2Access Is Not Unlimited Consumption

Membership provides access and privileges in accordance with the relevant Membership category. It does not mean that every Ìsimi service is complimentary.

Accommodation, food and beverage, spa treatments, transportation, private experiences, equestrian activities, events, merchandise, meeting facilities and other services may attract separate charges unless expressly included in a Member’s Benefits Schedule.

4.3Availability

Membership does not guarantee availability of any facility, room, restaurant, event, experience or service on a particular date. Facilities remain subject to capacity, reservations, maintenance, weather, safety, private events and operational requirements.

Different Membership categories may receive different reservation windows or priority rights.

Part V

Family & Household Access

5.1Family Privileges

Where applicable, a Membership Benefits Schedule shall identify the Member’s eligible:

• spouse or recognised partner
• dependent children
• adult children
• other qualifying family members

Family privileges are not automatically transferable beyond the persons expressly recognised under the relevant Membership category.

5.2Personal Staff

Drivers, domestic staff, personal assistants, nannies, security personnel and other employees accompanying a Member do not thereby become Members. Their access shall be governed by the Estate’s access and security procedures.

The sponsoring Member remains responsible for their conduct while within Ìsimi Lagos.

Part VI

Guests

6.1Guest Privilege

The ability to introduce Guests is a privilege of Membership. It is not an independent right belonging to the Guest.

Members shall comply with Guest limits and registration requirements applicable to their Membership category.

6.2Members Must Be Present

Guest privileges are exercised in person. A Member may not send Guests to Ìsimi Lagos in his or her absence, including for stays or experiences.

Members must be physically present within Ìsimi Lagos to host their Guests. Guests may not remain on the Estate when the sponsoring Member is not present, unless Ìsimi has given express written approval.

A Member hosts in person. No Member may send Guests to Ìsimi without being there to host them.

6.3Member Responsibility

A sponsoring Member is responsible for ensuring that his or her Guests understand and respect applicable Ìsimi rules. Where appropriate, Members may be responsible for damage, costs or liabilities caused by their Guests, subject to applicable law.

6.4Guest Approval

Ìsimi Lagos may reasonably require:

• advance registration
• valid identification
• vehicle information
• Guest lists
• security screening
• additional approval for groups
• event security
• other measures necessary to protect the community

Ìsimi may refuse, restrict or withdraw Guest access where reasonably necessary for security, safety, privacy, capacity or compliance with Estate policies.

6.5Abuse of Guest Privileges

Guest privileges must not be used to circumvent Membership requirements. Repeatedly bringing individuals into Ìsimi for commercial purposes, paid access or unauthorised events may constitute abuse of Membership privileges.

No Member may sell Guest access to Ìsimi Lagos.

Part VII

Privacy & Discretion

7.1Privacy by Default

Privacy is fundamental to the Ìsimi experience. Members shall respect the privacy of other Members, residents, Guests and visitors.

A person’s presence at Ìsimi Lagos should not automatically become public information merely because another Member recognises them.

7.2Photography & Recording

Members and Guests must exercise discretion when photographing or recording within Ìsimi Lagos. Without appropriate consent or authorisation, Members shall not intentionally photograph, film or record:

• another Member in circumstances where privacy would reasonably be expected
• private residences or compounds
• confidential meetings
• restricted areas
• children who are not under their care
• private Member activities

7.3Member Confidentiality

Members shall not disclose confidential personal information about another Member obtained through their Membership relationship. This includes private conversations, contact details, family information and other information that a reasonable person would understand to be private.

7.4Member Directory

Ìsimi Lagos shall not make Member information generally available as a commercial database. Member contact information must not be scraped, reproduced, sold or used for unsolicited commercial solicitation.

Part VIII

Social Media & Publicity

Members are welcome to celebrate their own Ìsimi experiences responsibly. However, Membership does not grant unrestricted commercial rights over the Ìsimi Lagos name, brand, environment or intellectual property.

Prior approval may be required for:

• commercial photography
• advertising campaigns
• professional film productions
• influencer campaigns undertaken for commercial consideration
• political content filmed as an organised campaign
• brand activations
• product shoots
• any content implying an endorsement by Ìsimi Lagos

Members should avoid publishing content that materially compromises another Member’s privacy or the security of the Estate.

Part IX

Member Conduct

9.1The Standard

Members and Guests shall conduct themselves with courtesy, dignity and consideration for others. Ìsimi is a community of different backgrounds, generations and perspectives. Membership requires mutual respect.

9.2Serious Misconduct

Subject to applicable law and due process under this Charter, serious misconduct may include:

• violence or credible threats of violence
• harassment or intimidation
• theft or fraud
• deliberate property damage
• dangerous behaviour
• serious privacy violations
• illegal activity
• abuse of employees
• serious intoxication-related misconduct
• fraudulent use of Membership privileges
• unauthorised commercial exploitation of Membership
• repeated disturbance of other Members
• conduct creating a material threat to the safety or integrity of the community

9.3Respect for Employees

Ìsimi Lagos is committed to exceptional service. Members are entitled to expect high standards from Ìsimi employees. Employees are equally entitled to dignity and respect.

Complaints concerning employees or service quality should be escalated through the appropriate management channels. Threatening, degrading, discriminatory, sexually inappropriate or abusive treatment of employees may constitute a serious Membership violation.

Part X

Quiet Enjoyment

The tranquillity of Ìsimi Lagos is an essential part of its character. Members and Guests shall avoid unreasonable noise, nuisance or activity that materially interferes with another person’s peaceful enjoyment of the Estate.

Ìsimi may establish:

• quiet hours
• tranquillity zones
• nature-only areas
• private residential zones
• restrictions on amplified sound

The fact that an activity occurs on private property within Ìsimi does not exempt it from community standards.

Part XI

Nature & Conservation

Ìsimi Lagos exists in relationship with nature. Members are expected to participate in its preservation.

Except where expressly authorised, no Member or Guest may:

• hunt or intentionally harm wildlife
• remove protected vegetation
• feed protected wildlife
• interfere with conservation programmes
• pollute waterways
• dispose of waste outside designated areas
• introduce invasive species
• enter restricted ecological areas
• conduct activities reasonably likely to damage the natural environment

Every Member is expected to regard the Estate’s natural assets as a shared legacy.

Part XII

Animals, Polo & Equestrian Activities

Members and Guests participating in polo, riding or other equestrian experiences must comply with all applicable safety requirements. Ìsimi may require:

• protective equipment
• supervision
• age restrictions
• competency requirements
• activity waivers
• compliance with instructions from authorised personnel

Pets shall be governed by a separate Pet Policy. Animals that pose a material danger, cause persistent disturbance or are repeatedly allowed to roam contrary to Estate rules may be restricted.

Part XIII

Vehicles & Mobility

All vehicles shall comply with Estate traffic and parking regulations. Ìsimi Lagos may establish:

• speed limits
• pedestrian-only zones
• electric mobility zones
• buggy routes
• cycling routes
• restricted vehicle areas
• designated parking
• special rules for service vehicles

Dangerous driving, racing or deliberate disregard of safety instructions may constitute serious misconduct.

Part XIV

Events & Private Functions

Membership does not constitute unrestricted authority to organise events within Ìsimi Lagos. Private functions may require prior approval depending on their size, location and nature.

The Estate may regulate:

• guest numbers
• security
• operating hours
• sound
• catering
• alcohol service
• entertainment
• decorations
• parking
• photography
• drones
• animals
• fireworks
• external vendors

Large or commercially significant events may require a separate Event Agreement.

Part XV

Commercial Activity

Ìsimi Lagos encourages genuine relationships between Members. However, the Membership community must never become an unsolicited prospecting database.

Members shall not systematically use Membership access to:

• market products
• solicit investments
• recruit clients
• distribute promotional materials
• operate unauthorised businesses
• repeatedly approach Members for commercial purposes without their consent

Natural business relationships and networking between consenting Members are not prohibited.

Part XVI

Security & Access Control

Membership status does not exempt any person from reasonable security procedures. Members and Guests must cooperate with authorised security personnel.

Ìsimi may operate appropriate:

• access-control systems
• visitor registration
• vehicle identification
• CCTV
• security patrols
• emergency protocols
• restricted-access zones

Loss of a Membership card, access credential or vehicle pass must be reported promptly. Members shall not knowingly lend Membership credentials to unauthorised persons.

Part XVII

Health & Safety

Members and Guests must comply with reasonable health and safety instructions. Facilities may temporarily close or have access restricted because of:

• maintenance
• weather
• health concerns
• emergencies
• security matters
• capacity
• other legitimate operational reasons

Certain activities may require additional consent forms or waivers.

Part XVIII

Membership Contributions & Charges

Depending on Membership classification, financial obligations may include:

• Membership or Joining Fee
• Annual Service Contribution
• Annual Estate Service Charge
• Annual Plot Maintenance & Security Charge
• facility usage charges
• hospitality charges
• event charges
• special assessments where properly applicable
• statutory charges or taxes

The Fee Schedule shall identify the applicable charges. Membership fees shall not be interpreted as payment for unlimited consumption of Estate services.

Part XIX

Non-Payment

Where a Member fails to pay an undisputed Membership contribution or charge when due, Ìsimi may, following applicable notice, suspend the privileges to which that payment relates until the account is regularised.

Membership debts and property/title obligations should be treated according to their respective governing documents.

Nothing in this Charter should be interpreted as creating a lien, charge or security interest over a Member’s property unless such right has been validly established under the relevant property documentation and applicable law.

Part XX

Membership Discipline

20.1Proportionality

Disciplinary action should be proportionate to the nature, seriousness and frequency of the conduct. Depending on the circumstances, sanctions may include:

• Advisory Notice
• Written Warning
• Restriction of Specific Privileges
• Temporary Suspension
• Termination of Membership

20.2Immediate Interim Suspension

Where conduct presents a credible and material risk to safety, security, privacy, property or the integrity of the community, Ìsimi may impose an immediate interim suspension pending review.

An interim suspension is a protective measure and does not itself constitute a final determination.

20.3Opportunity to Respond

Except where immediate action is reasonably necessary, a Member facing serious disciplinary action should be informed of the substance of the concern and provided a reasonable opportunity to respond before final termination.

20.4Membership Committee Review

Serious disciplinary matters may be referred to the Membership Committee. The Committee shall consider relevant circumstances, including:

• severity
• intent
• previous conduct
• impact on others
• remedial action
• the continuing interests of the community

Part XXI

Reputation & Community Integrity

Membership may be reviewed where a Member’s conduct has a direct and material connection to Ìsimi Lagos or creates a demonstrable and substantial risk to the safety, integrity, lawful operation or reputation of the community.

Mere disagreement, criticism or an unpopular personal opinion shall not, by itself, constitute misconduct.

This provision shall be applied carefully, proportionately and consistently with applicable law.

Part XXII

Transfer, Succession & Death

Property ownership and Membership privileges shall be treated separately unless applicable documentation expressly provides otherwise.

Upon the death of a property-owning Member, the underlying property shall devolve in accordance with applicable law and the relevant title documentation. A beneficiary or transferee may be required to complete applicable Membership admission requirements before exercising Membership privileges.

Lifestyle Membership shall ordinarily be personal and non-transferable unless expressly provided otherwise.

Ìsimi may establish a family succession pathway allowing qualifying spouses or children to apply for continuation of the family’s Membership relationship.

Part XXIII

Dormant Membership

Where permitted for a particular Membership class, a Member who will be absent for an extended period may apply for Dormant Membership status. During dormancy, some active privileges may be suspended or reduced.

Applicable fees, reactivation requirements and maximum dormancy periods shall be contained in the Fee or Benefits Schedule. Dormancy is not automatic and requires approval.

Part XXIV

Membership Concierge

Active Members shall have access to the Ìsimi Membership Concierge function. The Concierge may assist with:

• reservations
• Guest registration
• accommodation
• transport
• wellness experiences
• dining
• special occasions
• events
• other approved Member services

Concierge assistance facilitates arrangements but does not guarantee availability.

Part XXV

Member Feedback & Service Recovery

Standards apply to Ìsimi Lagos as much as they apply to its Members. Members should have access to appropriate channels for:

• service complaints
• privacy concerns
• safety concerns
• Membership questions
• employee commendations
• Member feedback

Significant concerns shall be escalated according to their seriousness. Where Ìsimi falls materially below the experience reasonably expected, the Estate should seek appropriate service recovery.

Membership is a relationship of mutual standards.

Part XXVI

Data Protection

Ìsimi Lagos shall process personal information in accordance with applicable Nigerian data-protection law and its Privacy Notice. Information may be processed for legitimate purposes including:

• Membership administration
• identity verification
• security
• access control
• Guest registration
• reservations
• communications
• payment administration
• CCTV and incident management
• the operation of Estate services

The detailed treatment of personal information shall be governed by the applicable Privacy Notice.

Part XXVII

Intellectual Property

The names, marks, logos, designs and other intellectual property associated with Ìsimi Lagos remain the property of their respective lawful owners.

Membership does not grant a licence to commercially exploit Ìsimi intellectual property. Prior written approval must be obtained for commercial use.

Part XXVIII

Member Introductions

Members are encouraged to introduce individuals whom they genuinely believe would add positively to the Ìsimi community. However:

An introduction is not an admission.

Every prospective Member remains subject to Ìsimi’s applicable admission process. No Member may:

• sell introductions
• publicly advertise guaranteed Membership
• receive unauthorised commissions for Membership access
• represent that he or she possesses authority to approve Membership

Part XXIX

Changes to the Charter

Ìsimi Lagos must retain the ability to evolve as the Estate and community mature. Operational rules may therefore be updated from time to time.

Where reasonably practicable, material changes affecting fundamental Membership fees, privileges or obligations should be communicated with reasonable advance notice.

Immediate changes may be implemented where reasonably necessary for law, safety, security or urgent operational requirements.

Part XXX

Force Majeure

Ìsimi Lagos shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, subject to applicable law.

Such circumstances may include natural disasters, severe weather, epidemics, government action, civil disturbance, infrastructure failures and similar events. The Estate shall nevertheless take reasonable steps to mitigate disruption where practicable.

Part XXXI

Dispute Resolution

Members and Ìsimi Lagos should first seek to resolve disputes privately, respectfully and efficiently. The escalation pathway should ordinarily be:

1. Membership Management
2. Membership Committee
3. Mediation, where appropriate
4. Arbitration, in accordance with the applicable laws of the Federal Republic of Nigeria

The seat of arbitration shall be Lagos, Nigeria, unless otherwise agreed. The detailed arbitration provision shall be contained in the legally approved version of this Charter.

Part XXXII

Document Hierarchy

The Ìsimi Membership framework may consist of:
