PREAMBLE
These Membership Charter & Manual (“Membership Manual”) govern all classes of membership at Isimi Lagos Wellness & Polo Country Estate (the “Estate”, “Isimi Lagos”, or the “Company”). It serves as a comprehensive reference guide for all categories of Membership within Isimi Lagos Wellness & Polo Country Estate. It defines the privileges, responsibilities, and conduct expected of Members and their Guests, and outlines the policies that uphold the values and harmony of the Estate. This Manual is intended for guidance and reference only. It is not a legal contract, nor does it create any form of partnership or binding obligation between Members and the Estate beyond
the policies herein described.
Members are encouraged to familiarize themselves with its contents and to uphold the principles of discretion, integrity, and respect that define the Isimi Lagos community. The Estate reserves the right to review, revise, or update this Manual periodically to reflect operational improvements, policy updates, and evolving best practices. All updates will be communicated to Members through official channels. By applying for, accepting, maintaining, or using any membership, the Applicant/Member (as applicable) agrees to be bound by these Membership Manual and any schedules, annexes, or policies incorporated by reference
PART A – DEFINITIONS & GENERAL TERMS
A.1 Definitions
Estate — means Isimi Lagos Wellness & Polo Country Estate.
Company — means Isimi Lagos Limited, proprietary to Oxygen Holdings, acting as manager and operator of the Estate.
Board — the governing body overseeing Estate policy, rules, and standards.
Membership — refers to Legacy Members, Lifestyle Members, Honorary Members, and
Corporate Members admitted under these Terms.
Legacy Member — a landowner admitted to Membership, including: Founding Members (the f irst 500 landowners who paid a one-time ₦2,000,000 Founding Fee with exclusive privileges), and Landowner Members (subsequent parcel owners admitted as Members).
Lifestyle Member — an exclusive fee-paying private Member, admitted through screening and payment of the prescribed membership fee.
Honorary Member — an individual granted courtesy membership by invitation in recognition of distinguished contributions; part of the core Membership base and bound by these
Membership Manual.
Corporate Member — a duly incorporated organisation granted Corporate Membership.
Corporate Membership Representative (CMR) — the authorised individual(s) appointed by a Corporate Member to act as official liaison with the Estate.
Guest — any person visiting the Estate strictly by invitation of a Member and always accompanied by that Member.
Annual Service Contribution (ASC) — the yearly service fee payable by Lifestyle, Corporate, and (if expressly required) Honorary Members, for ongoing services and privileges.
Annual Plot Maintenance & Security Charge — payable by Legacy Members on allocated but u developed parcels, covering security, clearing, and plot preservation.
Annual Estate Service Charge — payable by Legacy Members after construction, covering communal facilities, utilities, and estate management services. Membership Benefits Schedule — the annex to these Membership Manual setting out specific entitlements per class of Membership
Fee Schedule — the annex to these Membership Manual detailing payable charges and rates.
Special Offer — any promotional incentive granted by the Estate at its discretion, strictly non-entitlement and non-transferable. Special Offers may include, but are not limited to, hospitality packages, event sponsorship discounts, or facility bonuses. Corporate Members may
be extended tailored Special Offers subject to approval, but such offers do not create ongoing rights.
By Invitation Only: The Estate is a private, members-only community. Access is strictly by invitation and approval. Non-members have no rights of access except as guests of admitted Members
A.2 Application & Admission
Note: Legacy Members are also subject to screening and approval before receiving sales documents or making payment for land.
Membership applications must be completed in the prescribed form and supported by documents requested by the Estate (identity, incorporation certificates, proof of title, etc.). Admission is at the sole discretion of the Estate, following internal screening to ensure alignment with the community’s values. Admission must occur before any payment for land (Legacy Members) or membership fees (Lifestyle or Corporate Members). Provision of false or misleading information is grounds for rejection or termination.
A.3 Perpetuity of Membership
All Memberships are perpetual and do not expire once granted. Membership validity is not contingent on renewal. However, annual contributions or charges must be paid to retain access privileges.
Non-payment may result in suspension of access until arrears are cleared.
A.4 Guests
All Guests must be accompanied by the sponsoring Member or an authorised representative. Unaccompanied Guests are strictly prohibited unless express written approval is given by the Estate. Members are fully responsible for the conduct of their Guests including damages, misconduct, or violations of Estate rules. For events, guest numbers above the approved limits must be cleared in advance, and the estate may require security, deposits, or insurance coverage as appropriate.
A.5 Identification & Access Control
Members must carry valid access passes or ID at all times within the Estate. The Estate may issue vehicle decals, gate passes, or cards. Loss must be reported immediately; replacement fees apply.
A.6 Health, Safety & Security
Members must comply with all security and health measures within the Estate. The Estate reserves the right to inspect persons and property on entry. Facilities may be temporarily restricted or closed for safety or maintenance reasons.
A.7 Events & Third-Party Suppliers
All Events hosted by Members require prior written approval from the Estate. The Estate may require guest lists, event plans, and proof of insurance.Third-party suppliers must be licensed, insured, and approved by the Estate.The Member is responsible for vendor conduct, damages, and clean-up.
A.8 Liability & Indemnity
The Estate will not be liable for any loss, damage, theft, injury, or death on the Estate except where caused by its gross negligence or willful misconduct. Members indemnify the Estate against claims arising from their actions, staff, vendors, or Guests.
A.9 Data Protection & Communications
The Estate will process Member and Guest data for administration, security, and communication purposes. Notices may be sent by email, SMS, or other electronic channels.
A.10 Intellectual Property & Publicity
Members may not use the Estate’s name, logo, or materials without prior approval. The Estate may publish non-confidential information about Members or events unless confidentiality is requested.
A.11 Confidentiality
All internal pricing, schedules, and proprietary information shared with Members is confidential and may not be disclosed without consent.
A.12 Force Majeure
The Estate will not be liable for delays or failures caused by natural disasters, strikes, epidemics, or other events outside its control.
A.13 Amendments
The Estate reserves the right to amend these Membership Manual or any schedules with 30 days’ written notice. Continued use of membership privileges constitutes acceptance of such changes.
A.14 Dispute Resolution & Governing Law
These Membership Manual are guided by the laws of the Federal Republic of Nigeria. Disputes will first be resolved amicably; failing this, mediation will be pursued, and if unresolved, arbitration in Lagos under the Arbitration and Conciliation Act.
A.15 Severability & Entire Agreement
If any provision is deemed invalid, the remaining provisions will continue in effect. These Membership Manual, together with annexes, constitute the entire agreement between the Member and the Estate
