1. NAME

The establishment is Isimi Lagos Wellness & Polo Country Estate, hereinafter referred to as the Estate.

2. OBJECT OF THE ESTABLISHMENT

The Estate exists as a private, members-only country estate, curated around wellness, polo, equestrian pursuits, nature, and sustainable living. Its purpose is to provide a serene, exclusive environment where members and their families can enjoy country living, world-class wellness amenities, equestrian activities, and curated cultural events. The Estate is designed to be a model of sustainable development, blending nature, architecture, and lifestyle in ways that set new benchmarks for Africa and the world.

3. DEFINITIONS & PRIMARY CONCEPTS

The Estate is proprietary to Oxygen Holdings via Isimi Lagos Limited (the Company). The Membership refers to Legacy Members (landowners), Lifestyle Members (exclusive fee-paying members), Corporate Members and Honorary Members. The Board refers to the governing body overseeing estate policy and standards. The Estate is a by-invitation-only community, accessible strictly to members and their guests.

4. THE ESTATE SECRETARIAT

The Secretariat, appointed by the Company, manages the day-to-day running of the Estate. It ensures alignment with the vision of sustainability, exclusivity, and world-class hospitality

5. ADVISORY COUNCIL

An Advisory Council of distinguished members may be appointed to guide the Estate on wellness, polo, sustainability, and cultural programming. Advisory Council appointments are by invitation only.

6. MEMBERSHIP CATEGORIES

Membership is strictly by invitation or nomination from existing members.

Categories include:

  • Legacy Members – landowners and founding members of the Estate.
  • Lifestyle Members – individuals who gain access via one-time or recurring membership fees.
  • Corporate Members – organizations granted membership for executive and corporate use.
  • Honorary Members – individuals of distinction invited by the Estate for their contribution to wellness, sustainability, or polo.

Each category enjoys access to Estate amenities, subject to specific obligations.

7. ADMISSION & ACCESS

Members and their guests are entitled to use the Estate during designated hours. Guests must be accompanied by members, except with prior written approval. Children are welcome in designated areas, with age-appropriate guidelines for stables, polo, and wellness facilities. The Estate reserves the right to refuse entry to anyone not meeting dress code or conduct standards.

9. CONDUCT OF MEMBERS

Attire must reflect country estate elegance and wellness culture. Acceptable attire includes polo wear, smart casuals, traditional attire, and elegant leisurewear. Prohibited attire includes excessively casual or inappropriate clothing (e.g. gym-only wear, flip flops, nightwear, excessively revealing or offensive clothing).

8. DRESS CODE

Members are expected to maintain dignity, courtesy, and discretion at all times. Loud behavior, visible intoxication, or disruptive conduct is strictly prohibited. Photography, videography, and digital recording are restricted to designated zones, respecting privacy and exclusivity. Members are responsible for the conduct of their guests.

10. ESTATE RULES

Alcohol & Dining – Alcohol should be served and taken responsibly. No external food or drinks are allowed within the polo & wellness hospitality facilities.

Mobile Devices – Devices must be on silent; calls are restricted to designated areas.
Smoking & Vaping – Permitted only in designated outdoor areas, not within polo stables, wellness facilities, or children’s areas.
Sustainability – Members are required to respect nature, avoid littering, and participate in eco-friendly practices.

11. EVENTS & PROGRAMMING

The Estate will host curated experiences – Polo Tournaments, Farm-to-Table Brunches, Wellness Retreats, Art & Culture Nights. Attendance is by reservation, subject to exclusivity and capacity limits. Members may host private events with prior approval, ensuring alignment with Estate standards. On the occasion of any organised exhibition or event, exhibitors, persons
accompanying them, and persons invited by the Company are entitled to the privileges of membership for the occasion, provided that:

(a) No one admitted to the Community by virtue of this Rule may take part in the management of the Estate or introduce guests; and

(b)Persons admitted to the Community under this Rule are subject to the same Rules as Members of the Community.
The exhibition/event must be sanctioned by the Company or Secretary. Rights of access within Isimi Lagos of exhibitors, their aides & guests may be restricted by the Company.

12. DISCIPLINE & TERMINATION

Membership may be suspended or terminated for violation of rules, misconduct, or behavior inconsistent with Estate values. Decisions of the Secretariat and the Company are final.

13. BYE-LAWS

The Estate reserves the right to alter these rules as required, with due notice to members. Membership implies binding acceptance of all rules, bye-laws, and future amendments.

14. GUESTS

Members introducing guests are wholly responsible for their conduct. Guests must comply with all Community Rules and may be denied access for non-compliance. The Management may restrict guest numbers for sustainability and exclusivity. The Company may charge an entrance fee for additional guests of Members. Persons who have applied for membership and have been rejected may not be admitted as guests

15. CORPORATE MEMBERSHIP

Corporate Members are organisations invited into the Estate to extend Isimi Lagos privileges to their executives, partners, or guests. Corporate Members and their nominees are expected to uphold the same standards of conduct, sustainability, and discretion as all other Members. Guest access and facility use must align with Estate rules, and all nominated representatives act on behalf of their organisation while within the Estate.

16. ENVIRONMENTAL RESPONSIBILITY

All Residents must adhere to eco-conscious practices such as recycling, energy conservation, and minimizing waste. Burning, illegal dumping, tree felling, or introduction of invasive species is prohibited. Isimi Lagos enforces policies to protect biodiversity and natural landscapes.

17. COMPLAINTS

All complaints shall be made in writing to the Company. All interactions with Isimi Lagos staff must be respectful, professional, and courteous. Any form of dismissiveness, raised voices, aggressive tone, or intimidation will result in disciplinary action. Concerns should be directed to the Company privately and respectfully. In the event of a conflict between members, or between a member and a member of staff, the matter must be reported to the Company. A confidential and respectful process will be followed to mediate and resolve the situation.

18. PETS & ANIMALS

19. EMERGENCY & SAFETY PROTOCOLS

Members may keep or bring only domesticated pets (cats and dogs) within the Estate. All pets must be formally registered with Estate Management, together with up-to-date vaccination and health records. Pets must remain on a leash in common areas and are not permitted in lounges, dining areas, wellness, or polo facilities, except for certified service animals. Members are fully responsible for ensuring that their pets do not constitute a nuisance, disturbance, or threat to the dignity and tranquility of the Estate.

Exotic, dangerous, or prohibited breeds are not allowed within the Estate. Repeated violations of these provisions may result in the withdrawal of pet privileges at the discretion of Management

Members and guests must comply with all safety signage and instructions from the Estate’s Safety & Security Team. In case of medical emergencies, the Isimi Lagos First Response Unit must be contacted immediately. The Estate shall not be held liable for injuries sustained due to non-compliance with safety instructions.
